Terms and Conditions.

1. Changes to the Terms and/or Services
1.1. Paddywin may periodically change these terms—weekly, monthly, or annually—for various reasons, whether for security purposes and/or to reflect changes in our practices or business operations.
1.2. Changes may be made without any prior notice.
1.3. Substantial changes will be notified to you with reasonable advance notice depending on urgency, through WhatsApp groups, BulkSMS, email, or by posting on the platform’s leading page.
1.4. If you do not agree with any changes to these Terms, you must stop using the Services and close your Account immediately. If you continue to use the Services after the effective date of the changes to the Terms, you will be deemed to have accepted those changes.
2. Definitions and Interpretations
2.1. “Affiliate” means any natural or legal person who, after agreeing to the agreement, provides space on their homepage, website(s), other media platforms, email, etc. (“Affiliate Site” or “Advertising Space”) available to Paddywin for marketing the company and/or services and acquiring New Depositors.
2.2. “Sub-affiliate” means any natural or legal person who, after entering into a collaboration agreement with the affiliate, offers space on their homepage, website, email, or other media platforms available to Paddywin for marketing the company and/or services and acquiring New Depositors.
2.3. “Brand” refers to the name, concept, or identity under which the services or business are generally recognized and, from time to time, in the public domain worldwide. The Brand is and remains the exclusive property of Paddywin.
2.4. “Confidential Information” means all commercially valuable information essential to either Party, such as but not limited to: information about technology, market and business, financial reports, know-how, trade secrets, products, processes, business strategies, research-related information, databases, lists of New Depositors, data of potential and new depositors, supplier lists, marketing plans, product development, mode of operation or financial condition or prospects.
2.5. “Commission” means the compensation payable to the Affiliate, according to the agreed percentage of the net revenues generated by the New Depositor on the Site.
2.6. “Database” means the set of interconnected information about affiliates and New Depositors, containing all data of the New Depositors that are the property of Paddywin related to the Agreement, including, without limitation, personal data and contact information, and excluding others from Paddywin’s database, from the date of the agreement until the termination date thereof. The database is a financial asset belonging to Paddywin and represents a significant investment made by Paddywin.
2.7. “Intellectual Property Rights” means all rights over computer software (including source code), database rights, know-how rights, design rights, topography rights, copyrights, trademarks, domain names, utility models, trade names, registrations and applications for registration of any of the aforementioned elements and/or inherent rights related to any of the aforementioned elements.
2.8. “New Depositor” means any customer who has made, complying with Paddywin’s existing terms and conditions (“the rules”), a first minimum deposit on the Site, or the equivalent amount in any other currency accepted by Paddywin, or more, and whose deposit is used for bona fide transactions, with the ultimate goal of establishing a normal commercial relationship with Paddywin in the course of business.
3. Eligibility for Opening an Affiliate Account and Use of Services To become eligible, it is necessary to meet all the criteria imposed for opening an account, and upon registering the account, you must declare that:
3.1. The Affiliate is not self-excluded from affiliate activities and is not prohibited for any reason. This includes any history or record of fraudulent behavior with other betting companies in the affiliate sector.
3.2. Be over 18 years of age and have the legal capacity to agree to these terms and use the Services.
3.3. The Affiliate must act solely for personal use regarding their Account and use of the Services (i.e., the account must not be shared; in case of any account vulnerability or claim, only the legitimate account owner may make such a claim).
4. Affiliate Account Opening
4.1. To open an Affiliate Account, you must complete the registration form with truthful information, and it must not be misleading in any way;
4.2. We reserve the right to verify your registration data at any time, upon request for certain information.
4.3. If the documents or information fail our internal verifications, for example, if we suspect they have been tampered with or provided in any way to deceive or mislead, we are under no obligation to accept such information as valid and will have no obligation to provide feedback on the exact nature of our findings and conclusions regarding those documents.
4.4. To open an account, the affiliate must provide clear and complete information about their traffic sources.
4.5. Only MTN, GLO, Airtel and Etisalat numbers are accepted for account opening.
4.6. Affiliate managers are not obligated to accept your Affiliate Account registration.
5. Account Verification
5.1. We reserve the right to verify your registration data at any time, upon request for certain information.
5.2. If our requests for information are not met by the user, Paddywin may, at its sole discretion, close the account or remove the user from the affiliate program and withhold any funds until the requested documentation, information, or proof is provided.
5.3. If the documents or information fail our internal security checks, for example, if we suspect they have been tampered with or provided in any way to deceive or mislead, we are under no obligation to accept such information as valid and will have no obligation to provide feedback on the exact nature of our findings and conclusions regarding such information.
5.4. We reserve the right to continuously verify the affiliate account after opening, which also includes requests for traffic links, your clients, or any information in case of suspicion or authenticity concerns regarding the affiliate account.
5.5. We also reserve the right to remove or suspend the account after prolonged inactivity, which includes a period ranging from six months to one year.
6. Account Security
6.1. You must always keep your Access Credentials secret and confidential and never share them with anyone;
6.2. In case of loss of the device where the affiliate account is logged in, it is recommended that you inform us to block the account, and consequently, the affiliate should create a new account. However, we are not responsible for recovering accounts where the affiliate has lost or cannot remember the personal email, lost or cannot remember the phone number used on the account, or cannot remember the username.
6.3. The affiliate is responsible for the security of their username and password on their own PC, computer, or Internet access location. If that username and password combination is “hacked” from their computer due to any virus or malware present on the device used to access the account, the responsibility lies entirely with the affiliate.
6.4. Notwithstanding the above, managers are not responsible for the loss of personal account data to third parties. This includes any earnings obtained from the account by a third party—for example, if the affiliate loses access to the account through negligence and a third party takes over the account and begins to use the profits.
7. Multiple Accounts or Duplicate Account
7.1. Your account is for personal use only.
7.2. Affiliates are not allowed to have multiple accounts.
7.3. If an affiliate intends to or obtains more than one account, once Paddywin becomes aware, it will immediately close the accounts without any explanation.
7.4. The affiliate must choose one and only one account to carry out affiliate activities.
7.5. The affiliate must have only one phone number associated with one account.
7.6. The affiliate must not have multiple different phone numbers associated with multiple different accounts.
8.Campaigns, Promotions, and Prizes
8.1. If the affiliate is participating in a campaign, and during or at the end of the campaign Paddywin has a reasonable or concrete suspicion that the affiliate is gaining an unfair advantage regarding the campaign or promotion, or has acted or is still acting in bad faith, we reserve the right to exclude the affiliate from the campaign and close their account. In such circumstances, we have no obligation to pay any prizes acquired fraudulently.
8.2. We reserve the right to select certain affiliates to participate in specific campaigns or promotions, based on the objectives of each campaign. This includes affiliates with the lowest commissions as well as the top-performing affiliates.
8.3. We also reserve the right to exclude an affiliate from a campaign or promotion if, for any reason, they fail to understand or do not meet the necessary requirements to participate in the campaign, to avoid any misinterpretation or misunderstanding regarding the campaign.
9. Exchange Rates and Paymentss
9.1. The affiliate accepts that these commission amounts are generally adjusted to include deductions such as taxes, bonuses, operating expenses, with the affiliate agreeing to share these costs. Thus, the affiliate receives a share of the net revenue after these deductions, ensuring alignment between both parties for sustainable growth.
9.2. The affiliate is solely responsible for registering, paying, and reporting to any governmental, tax, or other relevant authorities any tax or other charges that may be payable on any earnings beyond the taxes already paid by the Company.
9.3. Starting from March 2025, all commission payments will be made to the account on the website www.paddywin.com.
9.4. The operation of this clause will be managed directly with the affiliate management team and the affiliates.
10. Chat Tools (WhatsApp)
10.1. As part of your use of the Service, the managers or the affiliate department may provide you with a chat tool through which you can communicate with other affiliates. The managers reserve the right to monitor the chat and keep a record of all statements made in the WhatsApp group. Use of the WhatsApp group is subject to the following rules:
10.2. No sexually explicit or grossly offensive statements are allowed, including expressions of intolerance, racism, hate, or profanity.
10.3. No statements that are abusive, defamatory, harassing, or insulting towards the managers are allowed.
10.4. No statements advertising, promoting, or otherwise related to any other online entities or betting companies are allowed.
10.5. No statements advertising, promoting, or otherwise related to any political matters are allowed.
10.6. No false, malicious, or harmful statements about the Company, the Sites, or any other Internet site connected to the Company are allowed.
In case of violation of any of the above provisions related to the chat tool, the managers have the right to remove the offending member from the WhatsApp group.
11. Brand Advertising
11.1. It is expressly prohibited to:
11.2. Promote misleading advertising through BotAviator or other means that may mislead customers;
11.3. Use fake applications to acquire customers;
11.4. Use paid advertising on websites with content explicit to minors;
11.5. Use paid advertising on websites with content related to terrorism or discrimination;
11.6. Alter or manipulate promotional materials in any way that harms the brand’s reputation. Affiliates must use only the official materials provided by Paddywin.
12. Defamation of the Image of Paddywin and Its Employees
12.1. During the term of the affiliate program, affiliates who directly or indirectly, by various or any possible means, tarnish the image of Paddywin Nigeria will be permanently blocked.
12.2. During the term of the affiliate program, those who disrespectfully address the Company’s employees with insults, abuse, etc., will be permanently removed. Similarly, those who share content unrelated to the affiliate program—links, images, videos, etc.—will also be removed.
12.3. Zero tolerance for any abusive behavior displayed by users of the affiliate Service. If Paddywin, at its sole discretion, considers that your behavior via phone, live chat, email, or otherwise has been abusive or derogatory towards any managers or the company itself, it reserves the right to terminate the partnership under such circumstances.
13. Obligations of Managers and Customer Service
13.1. Attend to and provide necessary information to affiliates;
13.2. Provide support regarding campaigns and/or how the affiliate platform works;
13.3. Provide support on relevant affiliate matters;
13.4. For the top affiliates, including those performing well in meeting targets (new quality deposits, new clients, communication, etc.), we reserve the right to provide personalized marketing content aimed at increasing profitable digital engagement;
14. Sub-Affiliation
14.1. The sub-affiliation strategy is only applicable to the top affiliates, especially those with the best performance.
15. Software (Platform)
15.1. A personal, non-exclusive, and non-transferable right is granted to use the platform solely for the purpose of using the Services in the manner for which it was designed, in accordance with the following provisions.
15.2. You may only use the platform for the purpose of utilizing the Services as it was designed for.
15.3. The Software is not alienable property. The Software belongs to and is the exclusive property of Paddywin or a third-party software provider (the “Software Provider”).
15.4. Use of the Affilka Softswiss platform does not grant you ownership of any intellectual property rights in the Software.
16. Errors
16.1. We provide a high-quality affiliate management platform; however, we cannot guarantee that the services will always perform correctly. Therefore, you acknowledge and accept that services are provided on an “as is” basis, as made available periodically.
16.2. An “Error” refers to a mistake or fault that is not exclusively technical; for example, errors may occur due to human mistakes or administrative, operational, or system failures, or a combination of these. Errors include (but are not limited to) “obvious” or “evident” errors such as the provision of incorrect commissions (above or below the amount to be paid), or payment of commissions to an illegitimate affiliate.
16.3. An “Overpayment Error” occurs if, due to human error or administrative failure, a manager pays an affiliate a commission higher than they should receive; Paddywin reserves the right to withhold the corresponding amount from the next month’s commission.
16.4. An “Underpayment Error” occurs if, due to human error or administrative failure, a manager pays an affiliate less than the commission they should receive. After verification of the error, the managers must pay the outstanding amount within 48 to 72 hours. Delays may occur due to payment system issues, which are beyond the managers’ control.
16.5. It is important that the affiliate cooperates with the managers if an anomaly regarding an “Overpayment Error” is found. The affiliate should not remain silent, as this may be presumed as bad faith, potentially leading to termination of the partnership.
17. Commissions
Affiliate commissions vary depending on a range of factors, including but not limited to market conditions, performance, and type of partnership. The specific commission rate and structure will be confirmed by your affiliate manager at the start of the partnership.
Commission Conditions
- Affiliates must actively promote Paddywin on a consistent basis.
- Commissions are calculated on net revenue as defined in these Terms.
- Payments will be made according to the schedule agreed with your affiliate manager.
- PaddyWin reserves the right to review, adjust, or update commission structures at its discretion, with prior notice.
18. Rights of Paddywin Paddywin reserves the right to remove any affiliate from the program in case of:
19.1. Prolonged inactivity, which includes:
a) Accounts with no activity for up to 1 year.
b) Accounts with first deposits less than 20 during the entire year.
c) Commissions related to the month when the partnership ends will be paid for accounts blocked due to inactivity only.
19.2. Failure to provide requested traffic sources or any other relevant information.
19.3. Suspicion or proof of fraudulent practices.
19.4. In cases of suspension or removal due to fraudulent practices, the accumulated balance may be withheld until an investigation is concluded.
19.5. If the affiliate has violated item number 11.
19. Responsibilities of Affiliates
19.1. Affiliates must provide clear and complete information about their traffic sources.
19.2. It is strictly prohibited to use fraudulent or deceptive practices to generate traffic.
19.3. The affiliate must maintain a minimum activity in the program, and prolonged inactivity may result in termination of the partnership.
20. Affiliate’s Action After Termination
20.1. All rights and licenses granted to you under the Affiliate partnership will be immediately terminated.
20.2. You will return to the Company any confidential information and all copies thereof in your possession and control, and cease all uses of all Intellectual Property Rights of the Company.
21. Confidentiality
21.1. All information, including (documents, messages, emails, or even via phone call or any other means) shared between Paddywin and the affiliate, must be treated as confidential.
21.2. Any breach of confidentiality may result in a penalty or even immediate termination of the partnership.
22. Acceptance of Terms & Conditions
By continuing in the program, you acknowledge that you have read, understood, and agree to all the terms and conditions presented above.
23. Violation of Terms and Conditions
Violation of these terms and conditions reserves us the right to suspend the account temporarily or permanently.
